摘要： 发起人在公司设立阶段一方面要以设立中公司机关名义对外发生民事交往；另一方面，发起人之间因为出资等义务的履行也可能发生纠纷。这带来了公司设立阶段发起人责任的多样性：既有发起人之间的违约责任，又有替代责任；还包括发起人与设立中公司的责任、发起人与债权人之间的责任、发起人与认股人之间的责任。

Abstract: During the incorporation process of a company，the promoters on one hand need to engage in external civil activities in the name of the company in incorporation，on the other hand，they may have disputes between/among each other in the implementation of their obligations such as making contributions to the company in incorporation．The massive incorporation works will irrevocably result in the diversity of the promoters’obligations during the incorporation process，such as liabilities for breach of the promoters’agreement and vicarious liabilities，as well as the responsibilities between promoters and the company in incorporation，between promoters and creditors and between promoters and subscribers，etc．
