摘要： 1992年新荷兰民法典在广泛参酌两大法系国家成功的立法经验与有益的判例和学说的基础上，顺应社会进步和法律发展潮流，从内容到形式都进行了革新，充分展示了该民法典的开放性、融和性与现代性，被包括法德在内的许多国家誉为“法典化体系中最具现代化的民法典”。加强对荷兰民法典的研析，可以为正在制定的中国民法典提供科学的思路与深邃的启迪。

Abstract: Dutch New Civil Code of 1992 was innovated both contents and forms which was widely deliberated the successful legislative experience of the two mail civil law systems and based on valuable judicial precedents and the oties．It complied with the social process and the trend of the civil law．It fully showed the New Civil Code Was open、harmony and modem．It Was honored“the most modem civil code among the code systems”by many countries，such as France and Germany．Researching and studying the Dutch Civil Code Can provide scientific thoughts and profound enlightenment for Chinese Civil Code which is being made now．
