《合同法》第167条(分期付款买卖)评注

摘要: 《合同法》第167条的适用不区分是否为消费者买卖。为保护买受人,解除合同时第167条第1款应当与第94条第3项联合适用。买受人迟延支付分期付款超过总价款的1/5,出卖人催告无果后,出卖人可以终止分期付款约定,进而要求买受人支付全部剩余价款,也可以解除买卖合同。要求支付全部剩余价款和解除买卖合同之间是选择性竞合。买卖合同被解除的,买受人返还标的物后,要支付“使用费”。计算“使用费”时约定优先;在没有约定的情况下,有租赁市场的,根据一般租金计算;没有租赁市场的,按照买受人使用期限和总使用期限的比例计算。买受人还要对因非正常使用标的物引起的损害承担赔偿责任。

Abstract: The application of Article 167 of the Contract Law does not distinguish between consumer transaction and non-consumer transaction.In order to protect the buyer, paragraph 1 of article 167 shall be applied jointly with article 94(3)by the dissolution of the contract.If the unpaid installments amount to one-fifth of the total price, and the seller's reminder fails, the seller may terminate the installment agreement, and then ask the buyer to pay the total price, or the seller can dissolve the contract.There is a selective coincidence between requiring payment of all the total price and dissolving the contract.If the contract is dissolved, the buyer shall pay fee for the use of the targeted matter.By calculating of fee for the use the agreement takes precedence; in the absence of agreement, if there is a rental market, the calculation shall be based on the general rent; if there is no rental market, the calculation shall be based on the proportion of the actual service life and the total service life.The buyer shall also be liable for damages caused by the abnormal use of the targeted matter.
