摘要： 农村集体经济组织法人的特别性是农村集体经济组织法理展开和立法表达的逻辑主线。农村集体经济组织法人的特别性有其所有制和经济根源。目前,学界对特别性的研究存在“平面化”“碎片化”和“空洞化”之缺憾。从逻辑构造观察,特别性可以分为“核心特别性”和“一般特别性”,其中“核心特别性”是“一般特别性”的基础。“社会功能的特别性”是农村集体经济组织法人的“核心特别性”,“一般特别性”体现在法人设立、法人财产、法人能力、成员身份、成员权利、治理机制、收益分配和法人终止等方面。在《农村集体经济组织法》中应当构筑起层次清晰、体系完整、内容丰盈的特别性制度体系和规范体系。

Abstract: The particularity of legal persons in Rural Collective Economic Organizations is the logical mainline of the legal development and legislative expression of Rural Collective Economic Organizations.The particularity of Rural Collective Economic Organizations as legal persons has its ownership and economic roots.At present, there are shortcomings in the academic community's research on specificity, such as “planarization”,“fragmentation”, and “hollowing out”.From the perspective of logical construction, specificity can be divided into “core specificity” and “general specificity”, with “core specificity” being the foundation of “general specificity”.“The specificity of social functions” is the core specificity of Rural Collective Economic Organizations as legal persons, while the “general specificity” is reflected in the establishment of legal persons, legal property, legal capacity, membership, member rights, governance mechanisms, income distribution, and termination of legal persons.A special institutional and normative system with clear hierarchy, complete system, and abundant content should be established in the Rural Collective Economic Organization Law
