摘要: 竞业限制问题是正在制定中的《劳动合同法》应规范的内容之一。单位对劳动者再就业。进行的竞业限制行为和劳动者的忠实义务之间存在何种关系,他们各自和保守商业秘密之间的关系如何看待,以及竞业限制行为的理由、合法性条件如何确定等问题,是《劳动合同法》正确规范竞业限制行为不可回避的考虑因素。本文提出,劳动者的忠实义务和竞业限制条款是两个含义不同的概念,两者来自不同的法律目标:前者是劳动法律关系的特征所要求的,而后者则是在保护公共利益、保护劳动自由权和公平竞争原则之间寻求平衡的结果。在区分了相关的基本概念的含义之后,文章结合英法两国劳动法判例的分析,对竞业限制条款的有效条件、履行和相应的违法责任进行了阐述,并对我国《劳动合同法》中的竞业限制立法和相关司法提出建议。

Abstract: No—competition clause is one of the contents of Employment Contract Law of China in draft now,To make the draft law more rational,it is unavoidable to clarify the distinction between the no—competition restraint demanded by the employer to employee and the obligation of faithful service imposed to employee,to answer what kind of relation is between no.competition clause and obligation of faithful service,and to find their respective interaction with the general demand of keeping commercial secret of employer.The author advances there are indeed differences between the meanings of obligation of faithful service and no—competition clause.They have different legal objectives:the first one is the essential demand of the character of labor relation;the second one is the result of a balance pursuit between two fundamental principals:the protection of public interest and employment right,on the one hand;and fair competition,on the other hand.Having distinguished the meanings of concerned concepts,the author combines English and French jurisprudences in the field,examines the validity and the ution of no—competition clause,the responsibility of breach of the clause,advances at last,the propositions to Chinese legislation and judicial practice in the field.
