摘要: 格式条款的信息规制应以推动微观交易中的知情决策和宏观市场秩序中的需求压力生成为导向。行为法律经济学的研究表明,消费者在决策时并不会将所有信息纳入考量范围,信息成本和认知局限的存在导致微观交易中的不完全信息不能彻底消除。古典经济学理论认为不完全信息会导致市场失灵,而法经济学理论指出,少数精明人的比较选择及其所创造的口碑效应能够削减不完全信息对竞争机制的破坏作用,信息规制应与此种决策机制和市场规律相契合。以此来改良我国现有的格式条款信息义务,需增强条款提示的外观和内容显著性,要求经营者提供通俗化与标准化的条款信息,并运用行政手段创设具体的揭示规则并强化事前监管,构建信息规制的公私法合作机制。

Abstract: The information regulation for Standard Form should be oriented to propelling the achievement of informed decision-making in micro transactions and the generation of demanding pressure in macro market. The research of Behavioral Law and Economics indicates that consumers tend not to take all the relevant information into decision-making process and the existence of information cost and cognitive limitations make it impossible to avoid the incomplete information in individual transactions. Classical economic theory points out that the incomplete information will result in market failure, however Law and Economics theory believes that the comparison shopping of informed minorities and the following reputation effects could weaken the negative influence of incomplete information on competition mechanism. Information regulation should correspond to this decision making mechanism and market principle. Based on this analysis,the information Obligation of Standard form contract in China's law should focus on the improvement of salience of terms,noticing, and request business operators to provide understandable and standardized information, moreover administrative regulation should be introduced to draft detailed rules and strengthen beforehand supervision on term information disclosure,so as to constitute the Cooperation between administrative regulation and judicial control on information regulation.
