摘要： 《民法总则草案》设计的意思表示解释规则，可圈可点，但也有需要完善之处。解释有相对人的意思表示也要同时顾及表意人，应区分相对人为特定人与相对人为不特定的多数人的情形而设置有所差异的解释规则，视意思表示的不同类型而分别确定以“主观”意义为准还是以“客观”意义为准，视格式条款与普通条款的不同而设计有所区别的规则。应增设以法律的任意性规范、可推断的意思表示、补充(性)解释的解释规则以及沉默表示着何种意思的解释规则。

Abstract: Interpretation rules of declaration of will of General Principles of Civil Code(Draft)are remarkably stipulated, but need to be perfected.Interpretation on the counterpart's meaning will also take into account the declaring person, and should be divided into two different situations：the counterpart is specific and unspecific.Declaration of will may be interpreted by ‘subjective’ meaning or‘objective’ meaning according to different types of declaration.Interpretation rules shall be different to the standard terms and general terms.In addition, the interpretation rules should be reinforced by the default rules, deducible declaration of will, supplementary interpretation and silent declaration of will.
