摘要： 公司章程之所以能够成为公司的“宪章”，根本在于公司章程具有独特的功能。从公司内部构造的角度看，公司章程是公司成立及独立人格的基石，是股东自治的基础，是公司管理者的行动指南；从公司的外部关系看，公司章程能够保障公司内外部参与人的权益，促进公司内部人员以及国家与公司的衔接，保障公司组织与公司法律的和谐并促进公司法律制度创新。随着公司法律的变革，公司章程的功能也随之变化，公司章程逐步演化成为公司治理的“宪章”。

Abstract: The basic reason for the articles of association becoming “Charter” is that articles of association have uniquefunctions ．From the perspective of the internal structure of the company，articles of association are the cornerstoneof establishment and independent personality of the company, the basis of shareholder autonomy，and the guide-line of the company's managers. From the perspective of the external relations of the company, articles of associ-ation can protect the management security of internal and external participants, promote the convergence of thecompany and internal staff as well as state, guarantee the harmony of the company’s organization and companylaw, and encourage the innovation of the company law system. With the transformation of the company law, thefunction of articles of association also changes. Therefore, articles of association gradually evolve into the “Char-ter” of internal governance of the company .
