摘要: 在买受人不能依善意取得制度获得保护的情况下,无权处分所订合同的效力问题关系到对买受人交易安全的保护。在物权法将不动产纳入善意取得后,这一问题更加突出。为此,司法实践不仅应严格区分无权处分与无权代理,将无权处分限制在登记状态与实际权属不一致的情形,而且应正确把握物权法第15条确立的“区分原则”,将处分权理解为物权变动的生效要件而非买卖合同的生效要件。同时,民法上的“善意”具有特定的含义,在适用善意取得制度对买受人的交易安全进行保护时,也应区分情形适用不同的标准来认定买受人的“善意”。

Abstract: If the buyer can not be protected by the system of acquisition in good faith, the validity of the contract basedon the unauthorized disposal is related to the protection of transaction security for the buyer. After the real estateis incorporated into the Property Law, the problem is more prominent. Therefore, in judicial practice, we shouldnot only strictly distinguish the unauthorized disposal from the unauthorized agency and limit it in the situationthat the registration status is different with the actual ownership, but also should correctly understand the “princi-ple of distinguishment” in article 15 of the Property Law and regard the right of disposal as an effective factor fortransfer of property, not for purchase contract. Meanwhile, “bona fide” in the civil law has a specific meaning.In the application of good faith system to achieve transaction security for protection of the buyer, we should iden-tify “good faith” of buyers case by case and apply the different standards.
